1. Acceptance. By using ProfitRoot ("the Service"), a product of SharpUnit LLC, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service. ProfitRoot is a software tool that analyzes financial data you provide to produce margin decomposition for D2C gross profit. It is currently provided as a preview/demo.
3. Not professional advice. ProfitRoot is a software tool, not a provider of financial, accounting, tax, audit, or investment advice. Outputs are computational analyses of data you provide and should be reviewed by qualified professionals before you rely on them for any decision.
4. Your data and content. You retain all rights to data you upload. The Service processes CSV uploads in your browser and stores synced Shopify order data on our servers. You are responsible for the accuracy and lawful use of data you provide by either path. You are responsible for keeping your own records.
5. Acceptable use. Don't misuse the Service: no unlawful use, no attempts to disrupt or reverse the Service, no use that infringes others' rights.
6. Intellectual property. SharpUnit LLC owns the ProfitRoot software, design, and brand. These Terms grant you a limited, non-exclusive right to use the Service; they do not transfer ownership.
7. Accounts. If account sign-in is offered and you create one, you're responsible for your credentials.
8. Disclaimers. The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that outputs are error-free or fit for any particular purpose.
9. Limitation of liability. To the fullest extent permitted by law, SharpUnit LLC will not be liable for any indirect, incidental, or consequential damages, or for any decision made in reliance on the Service's outputs.
10. Changes and termination. We may modify or discontinue the Service or these Terms at any time.
11. Governing law. These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-laws rules.
